TERMS AND CONDITIONS OF SALE

1. Acceptance of Terms By placing an order with Global Horizon Solutions Pty Ltd (“Seller”), the buyer (“Client”) agrees to be bound by these Terms and Conditions of Sale. These terms constitute the entire agreement between the parties, superseding any prior agreements, representations, or understandings.

2. Client Responsibility The Client must confirm they are satisfied with the technical data sheets and Certificates of Analysis (COAs) prior to ordering. It is the Client’s responsibility to review and understand these documents.

3. Freight Conditions This quotation includes freight, which may be by sea, road, or air, depending on the product and destination. The Client must ensure that all necessary paperwork for import and transport is in place. Hazardous materials will only be shipped with the correct documentation.

4. Product Specifications Please refer to the attached product specification documents for details on the products being purchased. By placing an order, the Client accepts these specifications.

5. Unit Price Adjustment for Small Orders For orders below the minimum order quantity, the unit price per gram will increase to cover additional transportation and handling costs. Prices are based on the requested quantity and are subject to change in accordance with these terms.

6. Delivery Location The order will be delivered to the place and address stated on the quotation. Any changes to the delivery location must be communicated and agreed upon in writing.

7. Lead Time The order lead time is 30-60 days from the purchase order date, depending on stock availability. Lead times are estimates and not guaranteed.

8. Quotation Validity Please check the quotation for the validity period. After this date, prices are subject to re-confirmation and may be adjusted based on current costs and exchange rates.

9. VAT Exclusion The quoted price does not include VAT as Global Horizon Solutions Pty Ltd is not yet registered for VAT but is in the process of registering. Any applicable VAT will be added once registration is complete.

10. Quantity-Based Pricing Prices are based on the requested quantity. For forecasted orders, pricing is valid only for the delivery period specified.

11. Price Adjustment Prices are subject to changes in exchange rates and import costs. If costs change, prices will be adjusted accordingly. New orders will be valid only at the updated prices.

12. Payment Terms A 50% deposit is required before processing the order. The balance is due upon delivery. Payment terms are non-negotiable unless agreed upon in writing by both parties.

13. Delivery Responsibility Global Horizon Solutions Pty Ltd is not responsible for any delays in delivery due to circumstances beyond our control, including but not limited to customs clearance delays and transport issues.

14. Ex-Works Pricing Standard pricing is quoted ex-works, excluding delivery costs. Delivery charges will be applied as necessary.

15. Import Documentation The Client agrees to provide any necessary licenses, end-user documents, or other required documentation for the importation of hazardous and explosive materials. This quotation is contingent upon both parties holding valid import documents and customs clearance. The validity of this quotation depends on the timely provision and approval of all required import documentation by both parties.

16. Acceptance of Specifications By accepting this quotation, the Client acknowledges and agrees to all specifications, terms, and conditions outlined in the accompanying datasheet and technical documentation.

17. Governing Law These Terms and Conditions shall be governed by and construed in accordance with the laws of [Your Country/State], and any disputes arising under these terms shall be resolved in the courts of [Your Country/State].

18. Final Prices Once a purchase order has been received, all prices are final and no adjustments will be made. All prices are binding.

19. Severability If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of the Terms and Conditions, which will otherwise remain in full force and effect.

20. Amendments These Terms and Conditions may be amended only by a written agreement signed by both parties.

21. Minimum Order Quantities Minimum order quantities apply for the prices quoted. Orders below the minimum quantity may be subject to different pricing or additional charges.

By placing an order, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions of Sale.
